Agreement and eligibility
These Terms of Use form an agreement between you and The Downliner (“TDL”, “we”, “us” or “our”). By registering, accessing an account, purchasing a service or using TDL, you agree to these terms. If you do not agree, do not use the service.
You must be at least 18 years old and legally able to enter this agreement. You are responsible for complying with the laws that apply where you live and where you promote.
Your account
- Provide accurate information and keep your email address current.
- Use one personal account unless TDL gives written permission for another.
- Keep your password secure and notify us promptly if you suspect unauthorised access.
- You are responsible for activity performed through your account.
- Account verification, safety checks or additional information may be required before access, advertising, commission or withdrawals are enabled.
Accounts may not be sold, transferred, shared or created using automated, misleading or fraudulent information.
Member advertising and content
You retain responsibility for every website, splash page, banner, text advert, email, referral link and other item you submit. You confirm that you have permission to use the content and that it does not infringe another person’s rights.
Content may be scanned and is normally placed into a review queue. Automated checks are helpful but are not a guarantee that a page is safe. We may approve, reject, pause, remove or request changes to content at any time.
Prohibited content includes malware, forced downloads, frame breakers, unlawful material, impersonation, misleading claims, hate or harassment, adult material, illegal products, phishing, credential theft, deceptive redirects and content designed to interfere with TDL or another visitor’s device.
Membership levels may limit the number of active advertisements or features. Content above a reduced membership allowance may be stored but removed from rotation until access is restored. Storage is not guaranteed indefinitely.
The Cooperative, points and ratings
The Cooperative displays member-submitted pages with TDL interface elements and may also display text adverts, banners, ratings and coordinated Creative Bundles. Members earn points only for eligible, genuine traffic recorded by TDL. Points are promotional units, have no cash value, are not transferable unless expressly allowed, and may be corrected when credited in error.
You must not generate artificial traffic, repeatedly visit your own promotion, use bots or automated viewing, falsify referrers, hide sources, manipulate timers, evade blocks or place a Cooperative page inside TDL as a website advert. We may withhold or reverse invalid views and points.
Ratings are community opinions about an opportunity, not financial advice, verification or endorsement by TDL. Traffic sources, visitor behaviour, impressions, clicks, ratings, leads, sales, income and other results are never guaranteed.
Capture pages and autoresponder
Eligible memberships may create capture pages and permission-based email journeys. You may email only people who expressly requested your messages and completed any confirmation process provided by TDL.
- Do not import, purchase, scrape or add third-party lists without provable consent.
- Use accurate sender information, honest subjects and lawful content.
- Do not conceal, disable or discourage unsubscribe facilities.
- Respect suppression, complaint, bounce and sending limits.
TDL may pause individual senders or the entire email system to protect deliverability and the community. Email delivery, inbox placement, opens and clicks are not guaranteed. You remain responsible for your content and compliance with applicable marketing and privacy laws.
The Machine and external opportunities
The Machine introduces eligible members to independent third-party programs using member referral routes. TDL does not own, control, endorse or guarantee those programs, their continued availability, their products, their payments or any income.
Members must submit truthful joining and upgrade information. Sponsors must respond honestly to confirmation requests. False claims, unrelated referral identifiers, manipulated links or deliberately withheld confirmations may lead to suspension or removal from The Machine or TDL.
Where a member already belongs to an opportunity, they must declare that before proceeding. TDL may exclude them from that opportunity or, after an audited review, admit a legacy referral route without counting it as a TDL-delivered signup or verified commission.
Amounts shown as Machine earnings are member-reported and sponsor-confirmed unless stated otherwise. They are illustrative only. Results are not guaranteed.
Memberships, purchases and renewals
Prices, billing periods and included benefits are displayed before purchase. Recurring memberships continue until cancelled through the relevant payment provider or method. A member normally retains the price version at which an uninterrupted subscription began. If it ends, a later purchase uses the then-current price.
Bitcoin and other products described as one-time purchases are not subscriptions and provide access only for the stated period or benefit. Blockchain payments may require confirmations before delivery.
Digital benefits may be supplied immediately. Refunds are not offered merely because traffic, sales, signups or earnings did not meet expectations. Nothing in these terms removes cancellation, refund or other consumer rights that cannot lawfully be excluded. Duplicate or demonstrably erroneous charges should be reported promptly.
Chargebacks or payment disputes made without first raising a genuine billing problem with TDL may result in immediate restriction while the matter is investigated. Fraudulent or abusive chargebacks may result in termination and recovery of associated costs where lawful.
Referral commission and withdrawals
Eligible purchases may generate referral commission at the rate attached to the sponsor’s membership. Commission may mature for a safety period and remains subject to refund, fraud and payment verification. Purchases funded from commission do not generate sponsor commission and may receive the discount displayed at checkout.
Withdrawal requests require an eligible balance and a valid destination. TDL may review, delay, reject or release a request where identity, payment, chargeback, fraud, account or destination checks require it. You are responsible for taxes, fees and the accuracy of payout details. A payment sent to details you supplied may not be recoverable.
Commission obtained through abuse, duplicate accounts, reversed payments, self-referral manipulation or prohibited activity may be withheld or reversed.
Fair use and prohibited conduct
Do not attack, probe, overload, reverse engineer or interfere with TDL; bypass membership or security controls; exploit errors; access another account; scrape private data; send unsolicited messages; falsify locations, identities or activity; or use TDL for unlawful, deceptive or abusive purposes.
Report security issues privately. Attempting to profit from, publicise or repeatedly exploit an error may lead to immediate restriction. We may correct balances, points, advertising allocations, memberships and records where an error or abuse has occurred.
Suspension and account closure
You may stop using TDL at any time and may ask us to close your account. Some financial, consent, security and audit records may be retained where necessary for legal, fraud-prevention and operational purposes.
We may restrict features, pause content, suspend or terminate an account where these terms are breached, risk exists, payment is reversed, information cannot be verified, or action is reasonably required to protect TDL or its users. Serious abuse may result in forfeiture of invalidly obtained points, traffic or commission. Legitimately earned balances will be handled according to applicable law and the circumstances of the closure.
Third parties, availability and liability
Member sites, payment processors, email providers, Gravatar, external opportunities and other linked services are independent third parties. Their terms and privacy practices apply. A link, rating, scan or approval does not amount to endorsement.
TDL is provided on an “as available” basis. We do not promise uninterrupted operation, permanent storage, compatibility with every site, delivery of every email, or any particular advertising or financial result.
To the fullest extent permitted by law, TDL is not liable for indirect or consequential loss, loss of profit, opportunity, reputation or data arising from use of the service or third-party content. Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.
Changes, governing law and contact
We may update these terms as TDL develops. Material changes will be communicated through the site, account notification or email where appropriate. Continued use after the effective date constitutes acceptance of the revised terms.
These terms are governed by the laws of England and Wales. Courts with jurisdiction under applicable consumer and civil procedure law may hear disputes.
